1. About these terms
These Terms & Conditions ("Terms") are an agreement between you and BizTorq, an eCommerce website development company based in Surat, Gujarat, India ("BizTorq", "we", "us" or "our"). By using our websites, tools or directory, submitting an enquiry, or accepting a quotation from us, you agree to these Terms and to our Privacy Policy.
If you are accepting these Terms on behalf of a business, you confirm that you are authorised to bind that business.
2. Definitions
- "Websites" means biztorq.com, directory.biztorq.com and their pages, tools and content.
- "Client" means a person or business that engages BizTorq for paid services.
- "Services" means eCommerce website design and development, OpenCart development, customization, extensions, integrations, migration, maintenance, speed optimization, SEO and related services.
- "Quotation" means the written quotation, proposal, estimate or scope document (including one sent by email or WhatsApp) that the Client accepts.
- "Deliverables" means the website, theme, modules, code, designs and other work we create for the Client under a Quotation.
3. Using our websites
You may use our Websites for lawful purposes only. You agree not to:
- submit false, misleading or someone else's information;
- send spam, malware or automated bulk submissions through our forms;
- scrape, copy or republish directory data, articles, tools or design in bulk without our written permission;
- attempt to hack, overload, or gain unauthorised access to our Websites, servers or admin areas; or
- use our Websites in any way that breaks Indian law or the law of your country.
All content on our Websites, including text, articles, graphics, logos, tools, code and the selection and arrangement of directory data, belongs to BizTorq or its licensors, unless stated otherwise. You may share links to our pages and quote short extracts with credit and a link back.
We try to keep information on our Websites accurate and up to date, but it is provided for general information only and "as is", without warranties of any kind.
4. Free tools and estimates
Our free tools, including the eCommerce Cost Calculator, Platform Picker, Project Requirements tool and Free OpenCart Store Audit, give general guidance based on the answers you provide. Their results are estimates and suggestions, not quotations or professional guarantees. Prices shown by a tool or in our articles are indicative, usually exclude GST, and may change. A binding price is only the one stated in a Quotation you accept.
When you run a Store Audit, you confirm that you own the store or have the owner's permission. The audit checks only publicly available information and does not access any private area of the store.
5. Textile directory
5.1 For people using the directory
- The directory, textile markets guide, transport finder, news, FAQs and quizzes are provided free of charge for information purposes.
- Listings are provided by businesses or compiled from public sources. We may review listings, but we do not guarantee the identity, quality, prices, stock, reliability or conduct of any listed business or transporter.
- BizTorq is not a party to any deal, order, payment or shipment between you and a listed business. Please verify the business, ask for samples and GST details, and use safe payment methods before trading.
- Any dispute with a listed business is between you and that business.
5.2 For businesses listing on the directory
- Basic listing is free unless clearly stated otherwise. Any paid or featured listing will be on terms shown at the time of purchase.
- You must be the owner or an authorised representative of the business you list.
- You confirm that the information, images and logos you submit are accurate, belong to you or you have the right to use them, and do not infringe anyone's rights.
- You give BizTorq a free, non-exclusive licence to display, format, translate, and promote your listing content on our Websites, in search engines, AI search tools, and on our social media.
- We may edit listings for format and accuracy, and may refuse, hide or remove any listing that is false, duplicate, outdated, offensive, or breaks these Terms, without notice.
- You can update or remove your listing at any time by writing to [email protected].
6. Our services
BizTorq builds eCommerce websites, mainly on OpenCart, and provides customization, B2B wholesale features (such as customer-group pricing, MOQ and bulk ordering), integrations (such as payment gateways, shipping and WhatsApp), maintenance, speed optimization and SEO services. The exact services, features, pages, number of revisions and deliverables for each project are defined in the Quotation. Anything not listed in the Quotation is outside the scope of the project.
7. Quotations and scope
- Quotations are valid for 30 days from the date issued unless stated otherwise.
- A project starts when the Client accepts the Quotation (in writing, by email or by WhatsApp) and pays the advance payment.
- Prices are based on the information the Client gives us at the time. If the actual requirements turn out to be materially different (for example, many more products, new integrations or custom features), we will provide a revised quotation.
8. Fees, payment and GST
- Unless the Quotation says otherwise, payment is: 50% advance before work starts, 40% on completion of the design and development stage, before the site goes live, and the remaining 10% at launch / handover.
- All prices are in Indian Rupees (INR) and exclude GST, which will be added at the applicable rate. International Clients may be quoted in another currency; bank and transfer charges are paid by the Client.
- Invoices are due within 7 days of issue.
- If a payment is overdue, we may pause work, delay the launch, or suspend maintenance or support until payment is received. Timelines will be extended accordingly.
- Third-party costs such as domain, hosting, SSL, premium themes, paid extensions, payment gateway fees, SMS / WhatsApp API charges and email services are paid by the Client and are not included in our fees unless the Quotation says so.
- Recurring services (such as maintenance plans or SEO retainers) are billed in advance for each billing period.
9. Client responsibilities
To deliver the project on time, the Client agrees to:
- provide product data, images, prices, MOQ rules, logos, content, policies and other materials in a usable format, on time;
- provide access to hosting, domain, payment gateway, shipping and other accounts as needed;
- appoint one contact person who can give feedback and approvals;
- review work and give feedback within 5 working days of each delivery;
- ensure that all content, images, brand names and products supplied are legal, accurate and owned or licensed by the Client; and
- publish their own store policies (privacy, returns, shipping, terms) and comply with laws that apply to their business, including consumer protection, eCommerce, GST and data protection laws. We can provide templates, but the Client is responsible for their legal accuracy.
10. Timelines and delays
Timelines in a Quotation are estimates and start from receipt of the advance payment and the required materials. Delays in materials, feedback, approvals, payments or third-party approvals (such as payment gateway activation, domain transfer or app store review) will extend the timeline. If a Client does not respond for 30 days or more, we may treat the project as on hold; restarting may require rescheduling and, if the delay is long, additional charges.
11. Revisions and change requests
- Each Quotation includes the number of design and development revision rounds stated in it. Where it is not stated, two rounds of reasonable revisions per stage are included.
- New features, extra pages, design changes after approval, or work outside the agreed scope are change requests. We will quote them separately, and they may extend the timeline.
12. Testing, acceptance and launch
We will share the website on a staging or test link for the Client to review. The Client should test it and report issues within 7 days. The website is considered accepted when the Client approves it, when it goes live, or 7 days after delivery if no issues are reported, whichever happens first. Minor issues that do not stop the store from working will be fixed but do not delay acceptance or the final payment.
13. Support, warranty and maintenance
- We provide 30 days of free bug-fix support after launch for defects in the work we delivered, unless the Quotation states a different period.
- Free support does not cover new features, content updates, design changes, problems caused by changes made by the Client or other developers, third-party extensions or services, hosting problems, server changes, OpenCart or PHP version upgrades, or misuse.
- After the free support period, maintenance, updates, backups and support are available through a paid maintenance plan or on an hourly / per-task basis.
- We will take reasonable care when working on a live store and will normally take a backup first, but the Client is responsible for keeping their own regular backups.
14. Hosting, domains and third-party services
- The domain and hosting should be registered in the Client's name. If we register or manage them on the Client's behalf, we hold them for the Client and will transfer them on request once all dues are cleared.
- We are not responsible for downtime, data loss, security incidents, price changes or service changes by hosting companies, domain registrars, payment gateways, shipping companies, WhatsApp, Google or other third-party providers.
- Third-party extensions and themes are subject to their own licences and support terms. OpenCart itself is open-source software released under the GNU General Public License (GPL).
15. Ownership and intellectual property
- When the Client has paid all amounts due for a project, ownership of the custom design and custom code we created specifically for the Client transfers to the Client. Until full payment, BizTorq keeps ownership and may withhold handover, admin access transfer or source files.
- OpenCart, open-source components and third-party extensions remain under their own licences.
- BizTorq keeps ownership of its pre-existing code, reusable modules, frameworks, tools and know-how, and grants the Client a perpetual, non-exclusive licence to use them as part of the Client's website. We may reuse general techniques and non-client-specific code in other projects.
- Content, images, logos and trademarks supplied by the Client remain the Client's property.
16. Portfolio and credit
Unless the Client asks us in writing not to, we may show the completed website, its screenshots, the Client's name and logo, and a description of the work in our portfolio, case studies, website and marketing, and may place a small "Developed by BizTorq" credit link in the website footer. The Client may ask us to remove the footer credit at any time.
17. Confidentiality and data
Both parties will keep confidential any non-public business information received from the other, such as pricing, customer lists, business plans and account credentials, and will use it only for the project. This does not apply to information that is already public or required to be disclosed by law. When we handle personal data of the Client's customers, we do so as described in our Privacy Policy.
18. Cancellation and refunds
- The Client may cancel a project by giving written notice. The Client must pay for all work completed up to the date of cancellation and any third-party costs already incurred.
- The advance payment is non-refundable once work has started, as it covers planning, scheduling and initial work. If work has not started, we may refund the advance after deducting any costs already incurred.
- Payments for completed stages, third-party purchases (themes, extensions, domains, hosting) and past periods of recurring services are not refundable.
- Maintenance and SEO plans can be cancelled with 15 days' written notice before the next billing date.
- We may end a project if the Client breaches these Terms, fails to pay, asks us to do something illegal, or is abusive to our team. In that case, the Client pays for work done to date.
- Approved refunds will be processed to the original payment method within 7 to 10 working days.
19. SEO and marketing results
Search engines and AI search tools control their own rankings, and their algorithms change often. We follow recognised best practices, but we do not guarantee any specific ranking, traffic, number of enquiries, sales or revenue from our website, SEO, Google Shopping or marketing work.
20. Limitation of liability
- To the maximum extent allowed by law, BizTorq is not liable for any indirect, incidental or consequential loss, including loss of profits, sales, business, data or goodwill.
- BizTorq's total liability for any claim relating to a project or our Services is limited to the fees paid by the Client to BizTorq for that project (or, for recurring services, the fees paid in the 3 months before the claim).
- We are not responsible for losses caused by events outside our reasonable control, such as server outages, cyber attacks on third-party systems, internet failures, natural disasters, government action or power cuts.
21. Indemnity
You agree to indemnify BizTorq against claims, losses and costs arising from content, images, products or information you supply to us or publish on your website or directory listing, your breach of these Terms, or your breach of any law or third-party rights.
22. Governing law and disputes
These Terms are governed by the laws of India. We encourage you to contact us first so we can try to resolve any concern amicably within 30 days. If a dispute cannot be resolved this way, it will be subject to the exclusive jurisdiction of the courts at Surat, Gujarat, India.
23. General
- We may update these Terms from time to time. The updated version applies from the "Last updated" date shown above. Projects already under a signed Quotation continue under the Terms in force when the Quotation was accepted, unless both parties agree otherwise.
- If any part of these Terms is found invalid, the rest remains in effect.
- If we do not enforce a right immediately, we do not give up that right.
- The Client may not transfer a project or these Terms to someone else without our written consent.
- These Terms, together with the Quotation and our Privacy Policy, form the entire agreement between us for the project.
